Summary of the Platform Master Services Agreement · updated 2026-08-08

All customers contract on one standard MSA with Order Forms. This page summarises the structure in plain language; the agreement itself is the binding text.

1. Structure

One Master Services Agreement covers the platform; each module you license is added on an Order Form that states the module, the charging basis and any measurement protocol. The same terms and price card apply to every customer.

2. What is licensed

A subscription to managed platform services. Logic, models and data processing run on Wellix-controlled infrastructure; you integrate through documented APIs, webhooks and SDKs. No source code, model weights or exclusive rights are transferred. Dedicated fine-tuned artefacts change hands only under express Order Form terms.

3. Boundaries

Final price policy, consumer disclosures and merchant activity remain the customer's (Monetize).
Wellix does not buy media, control budgets or manage campaigns (Predict, Creative).
The customer remains merchant, controller and payment-account holder; Wellix never receives end-user funds (Funnels).
Nutrition AI is not a medical device; outputs are not medical diagnosis or clinical recommendations.

4. Measurement and performance fees

Any performance-linked fee applies only under a written measurement protocol agreed in advance, is validated against holdouts, and is capped.
